MyBooks (clients.iversoncreative.com)

1. Acceptance

By opening a link to an estimate, invoice, or document in MyBooks, or otherwise using it, you accept these terms. If you accept an estimate or sign a document, you represent that you are authorized to act for the business named in it.

2. What MyBooks is

MyBooks presents estimates, invoices, and documents prepared by Iverson Creative LLC, records your acceptance or signature, and takes payments through Stripe. The business terms of any engagement live in the document you sign or the estimate you accept, not in these terms. These terms govern MyBooks itself. MyBooks provides no legal advice.

3. Electronic signatures and acceptance

By accepting or signing through MyBooks, you consent to conduct the transaction electronically. Your electronic signature and the electronic record of the agreement have the same legal force and effect as a handwritten signature on paper, and you agree not to contest their validity solely because they are electronic. You will receive a copy of the signed document by email, and you may request a paper copy from us at any time.

To evidence execution, MyBooks keeps an audit record of each signature: your name, title, business name, email, signature image, IP address, browser and device information, timestamps, the statement you agreed to, and a cryptographic fingerprint of the document. The statement you agree to when signing, which includes this consent, is stored word for word with your signature and printed on the signed document, so the record shows exactly what you agreed to. The document's fingerprint is fixed when we send it for signing, and MyBooks will not accept a signature if the document no longer matches that fingerprint, so the record shows that the document you signed is the document we sent. Signed documents and signature images are stored privately and are available only through your document link or to us.

Accepting an estimate by clicking Accept is also a binding acceptance. For estimate acceptance we record your name, email, IP address, and the date and time.

4. Payments

Payments are processed by Stripe under Stripe's own terms. Iverson Creative LLC never receives your card number. Sales tax is calculated by Stripe Tax based on your billing address, so keep it current with us.

5. Late payment and disputes

Invoices are due by the date shown on them. If an invoice is more than 30 days past due, we may charge a late fee of 1.5% per month on the overdue balance, or the maximum rate allowed by law if that is lower. We would much rather talk than charge fees, so if something is holding up a payment, tell us.

If you believe an invoice is incorrect, let us know at hello@patrickiverson.com within 30 days of the invoice date and we will work it out in good faith. An invoice not disputed within that window is considered accepted. Amounts disputed in good faith do not accrue late fees while we resolve them.

6. Acceptable use

Links to your estimates, invoices, and documents are private. Do not share them beyond the people at your business who need them. Do not attempt to access other clients' records, probe or disrupt the service, or interfere with its operation.

7. Availability

MyBooks is provided as is and as available. We do not warrant that it will be uninterrupted or error-free.

8. Limitation of liability

To the fullest extent permitted by law, Iverson Creative LLC's total liability arising out of or relating to MyBooks is limited to the fees you paid Iverson Creative LLC in the twelve months before the event giving rise to the claim. Iverson Creative LLC is not liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data. This section limits liability for MyBooks only; any agreement you sign has its own terms, which govern that engagement.

9. Revocation and termination

We may revoke a signing link or void an unsigned document or unaccepted estimate at any time. Signed agreements, accepted estimates, and issued invoices are unaffected and survive.

10. Changes to these terms

If we change these terms, we will post the updated version here with a new effective date.

11. Governing law

These terms are governed by the laws of the State of New Mexico. Any dispute about MyBooks will be resolved in the state or federal courts located in New Mexico.
